1. Our Services

Miami Design Hub, operated by Markeltree LLC, provides design, development, and marketing services as described above. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate proposal, quote, contract, or statement of work ("Project Agreement") agreed upon by both parties before work begins. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement will govern.

2. Eligibility

By using our Site or services, you confirm that you:

• Are at least 18 years old, or are using our services with the involvement of a parent/guardian or authorized business representative
• Have the legal authority to enter into these Terms on behalf of yourself or your business
• Will provide accurate and complete information when engaging our services

3. Project Process

Our typical working relationship includes the following stages:

• Discovery & Quote: We discuss your needs and provide a proposal or estimate
• Agreement & Deposit: A Project Agreement is signed, and a deposit may be required before work begins
• Design/Development Phase: We create drafts, mockups, or builds for your review
• Revisions: You provide feedback within the agreed number of revision rounds
• Final Delivery: Completed files, assets, or access credentials are delivered upon final payment

Timelines are estimates and may shift due to delayed feedback, scope changes, or factors outside our control.

4. Fees & Payment

• Pricing is outlined in your Project Agreement or invoice
• Deposits, where required, are non-refundable once work has commenced
• Final payment is generally due upon project completion, before final files or live access are handed over
• Late payments may result in paused work, late fees, or suspension of hosting/management services
• Ongoing services (e.g., Social Media Management, SEO & AI Search Optimization) are billed on a recurring basis, as specified in your agreement, and may be canceled with the notice period stated in that agreement
• All payments are made to and processed by Markeltree LLC

5. Revisions & Scope Changes

• Each service includes a set number of revision rounds, as specified in your Project Agreement
• Requests beyond the agreed scope, or significant changes to project direction, may incur additional fees
• We'll always communicate additional costs before proceeding with out-of-scope work

6. Intellectual Property

• Upon full payment, final deliverables (such as logos, websites, or designs) are transferred to you for your use, as specified in your Project Agreement
• Markeltree LLC retains the right to display completed work in Miami Design Hub's portfolio, case studies, and marketing materials, unless otherwise agreed in writing
• Any third-party assets used in your project (such as stock photos, fonts, or plugins) remain subject to their own licensing terms
• Markeltree LLC retains ownership of any proprietary tools, templates, or processes used to create your deliverables, unless explicitly transferred in writing

7. Client Responsibilities

To keep your project on track, you agree to:

• Provide timely feedback, content, and access needed to complete the work
• Ensure any materials you provide (text, images, logos, etc.) do not infringe on third-party rights
• Maintain the security of any credentials or account access shared with us
• Respond to requests for approval or revisions within a reasonable time

8. Third-Party Platforms & Access

Some services require access to external platforms, such as your website host, domain registrar, e-commerce platform, or social media accounts. We are not responsible for:

• Outages, policy changes, or issues caused by these third-party platforms
• Loss of access or data resulting from your failure to maintain accounts, subscriptions, or credentials

9. Cancellations & Refunds

• Cancellation terms will be specified in your project agreement
• Deposits and payments for work already completed are generally non-refundable
• If a project is canceled mid-way, you will be billed for work completed up to that point
• Refunds, if applicable, are handled on a case-by-case basis at Markeltree LLC's discretion

10. Limitation of Liability

To the fullest extent permitted by law:

• Markeltree LLC, which operates Miami Design Hub, is not liable for indirect, incidental, or consequential damages arising from your use of our services or site
• Our total liability for any claim related to our services will not exceed the amount you paid us for the specific project in question
• We do not guarantee specific business outcomes, such as sales, rankings, or traffic increases, from our design, SEO, or marketing services

11. Confidentiality

We treat any proprietary business information, financials, or strategic plans you share with us as confidential, and we will not disclose them to third parties without your consent, except as required by law.

12. Termination

We reserve the right to suspend or terminate services if:

• Payment is not received according to the agreed terms
• You violate these Terms or engage in abusive or unlawful conduct
• Continuing the project becomes impractical due to unresponsiveness or scope disputes

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or our services will be resolved in the courts located in Miami-Dade County, Florida.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. Updates will be posted on this page with a revised "Last Updated" date, and continued use of our Site or services after changes constitutes acceptance of the updated Terms.
